Biography

Jennifer Stokes regularly counsels clients on matters relating to qualified retirement plans, welfare benefit plans, fringe benefit plans and executive compensation. Ms. Stokes has represented clients in connection with Internal Revenue Service and Department of Labor audits of employee benefit plans and compliance programs and in ERISA litigation.

Ms. Stokes counsels clients on issues relating to the design, drafting and administration of employee benefit plans. Ms. Stokes has negotiated and drafted employment agreements and executive compensation arrangements. She counsels clients in connection with the design and drafting of nonqualified deferred compensation and equity compensation arrangements. Ms. Stokes counsels clients on employee benefits issues in mergers and acquisitions and conducts due diligence, prepares documentation, negotiates provisions and advises on plan integration in connection with the transaction.

Ms. Stokes frequently lectures and writes on employee benefits topics. She has been an adjunct professor of law at Saint Louis University School of Law teaching employee benefits courses. Ms. Stokes has also served as the chair of the Employee Benefits Section of the Bar Association of Metropolitan St. Louis.
