Hamburg, March 20, 2019Bryan Cave Leighton Paisner has advised its longtime client Terex Corporation on the sale of the Demag® Mobile Cranes business to Tadano Ltd., Japan. The transaction is being led by David Fisher, Aaron Lang and Allie Shapland (all US M&A), and by Dr. Michael Leue and Dr. Hubertus Schröder (both German M&A).

Terex Corporation (NYSE: TEX) is a global manufacturer of lifting and material processing products and services with headquarters in Connecticut, USA. Terex serves a broad range of industries, including construction, infrastructure, manufacturing, shipping, transportation, refining, energy, utilities, quarrying and mining.

The parties entered into a global asset and stock purchase agreement valuing the business at an enterprise value of $215 million. With more than 1,700 employees, the Demag® Mobile Cranes business manufactures and sells all-terrain cranes and large crawler cranes. Included in the transaction are the manufacturing facilities in Zweibrücken, Germany, and multiple sales and service locations around the globe.

This international transaction involves asset and stock sales taking place in Germany, the US, Canada, France, Switzerland, Austria, Italy, the UK, Australia, Brazil, Mexico, India, Singapore, Shanghai and the Middle East.

The sale is subject to government regulatory approvals as well as other customary closing conditions; closing is targeted for mid-2019.

In this transaction, the global investment bank Moelis & Company LLP acted as financial adviser to Terex Corporation.
