Caitlin Reardon has a broad corporate practice, focusing on securities, corporate governance, and general corporate matters. She has represented U.S. and international issuers and underwriters in a range of public and private securities offerings, including initial public offerings, primary and secondary equity offerings, high yield debt offerings, Rule 144A and Regulation S debt offerings and medium-term note programs, as well as domestic and cross-border listings. She assists public companies with their continuing reporting requirements under the Securities Exchange Act of 1934, including annual and quarterly reports, current reports, and proxy and information statements. She advises U.S. and non-U.S. issuers on disclosure and corporate governance issues, including SEC, stock exchange, Sarbanes-Oxley and Dodd-Frank compliance. Caitlin has provided advice in connection with public company spin-offs and related financing transactions. She has also represented public and private acquirers in M&A transactions, including acquisitions of public companies for cash and stock.
