Michael Leue has focused his practice on advising complex transactions, mostly with an international element. Multinational M&A transactions feature as prominently as advising on corporate matters, in particular relating to limited liability companies and stock corporations. This includes representing clients in national and international arbitration and litigation, providing ongoing legal advice to corporations with regard to complex operational issues as well as on the shareholder side. His specialization on listed and non-listed Aktiengesellschaften (stock corporations) includes advising supervisory and executive boards on capital increases, domination agreements, profit and loss pooling agreements, listings, de-listings and public offerings, shareholders meetings and protection against and defense of shareholder activism. Furthermore he advises on corporate structures and corporate finance.
His clients are ranging from emerging companies to large listed corporations. Mr. Leue has also built a leading trains and infrastructure practice which covers all aspects of public transport by trains and busses including corporate structures, acquisitions, regulatory issues, franchises (Verkehrsverträge), procurement, train finance and dispute resolution.
Mr. Leue advises based on a deep understanding of the business and with high personal engagement. Apart from his work as a lawyer, Mr. Leue has gained experience through being trained and having worked at a bank and through serving on supervisory boards of various companies ranging from renewal energy to private equity, from luxury goods to information technology and from cranes to advertisement. He also served on the Executive Board, led the corporate group as well as the North American group of a large law firm alliance in Europe and opened and built the offices in Germany. Mr. Leue is currently a member of the firms Executive Committee.
Dr. Leue frequently speaks on mergers and acquisitions and corporate law as well as on banking (regulatory) issues to industry and professional audiences in Europe and the United States.
