Biography

Spencer Rubin is an associate in the Boulder office. Mr. Rubin represents emerging and established companies in technology and intellectual property transactions, including the licensing of proprietary software and cloud platforms, the commercialization of data products, the monetization of brands through an array marketing and advertising agency transactions, and the protection of personal information through the application of the privacy and security standards that today’s global markets demand. 

Mr. Rubin has worked with clients to structure and negotiate hundreds of unique technology and intellectual property transactions, including technology and data transfers; reseller, manufacturer and other distribution channel agreements; intellectual property and technology-based mergers and acquisitions; IT consulting arrangements; marketing, advertising, and co-branding deals; and consumer-facing e-commerce transactions.

Mr. Rubin’s experience spans a range of industries, including telecommunications, entertainment, healthcare, consumer packaged goods, private-public partnerships, and industrial manufacturing.

Mr. Rubin also counsels clients on the applicability of data privacy laws and regulations to their transactions, including the California Consumer Privacy Act and the General Data Protection Regulation.

Not only committed to the success of his clients, Mr. Rubin is also invested in helping to foster a positive culture within BCLP. He is an active member of the global LGBTQ* Network and Lawyers Affinity Group, with fresh ideas for better internal engagement and community partnerships, and he sits on the firm’s Wellness Committee for Colorado offices.

SEC Proposes Stringent New Conflict-of-Interest Rules Regarding Broker-Dealers’ and Investment Advisers’ Use of AI

On July 26, 2023, the majority of the Commissioners of the U.S. Securities and Exchange Commission (the “SEC”) voted to propose new rules under the Securities Exchange Act of 1934 and the Investment Advisers Act of 1940 to regulate the use of artificial intelligence technologies (“AI”) by broker-dealers and investment advisers registered, or required to be registered, with the SEC (collectively, “Firms”) to prevent Firms from using such technologies in ways that advance their interests ahead of those of their investor-clients. Interested parties have until October 10, 2023, to submit comments to shape any final rules that may be promulgated. The proposals implicate two central themes that the debate on emerging AI regulation commonly presents:  (1) what constitutes “AI” or other covered technology for purposes of such regulation, and (2) does existing law effectively address the perceived harms or risks to be regulated?

Five Steps for Drafting an Effective “Extenuating Circumstances” Cancellation Policy for Your Consumer Contracts in the United States

As local and national regulations seek to “lower the curve” of infections of the COVID-19 illness, they have forestalled a host of consumer transactions, most notably those regarding travel, hospitality, and community events.  Even if such regulations do not absolutely prohibit the fulfillment of those transactions, companies must confront the fact that consumers will still want to cancel them for the health and safety reasons.  When this happens, companies’ standard cancellation policies or then-effective termination or force majeure clauses in their consumer contracts are likely insufficient to deal with the high consumer demand for contract cancellations.  Therefore, companies should consider being prepared to enact “extenuating circumstances” cancellation policies (“ECCPs”) to excuse performance under existing consumer contracts. BCLP has prepared a list of five steps for drafting effective ECCPs to assist your business.
