Biography

Kathryn Love balances her practice between serving as outside corporate counsel to entrepreneurial businesses, ranging from start-ups to established companies, and advising on middle-market M&A transactions. Clients consult Ms. Love for her strategic legal advice, business acumen, and practical problem-solving skills.

Ms. Love has counseled start-up companies for two decades. Her experience began with dozens of deals during the dot-com era, including many transactions implementing a Big 4 accounting firm’s venture capital strategy. Today, she is active in the St. Louis entrepreneurial ecosystem, supporting Arch Grants, Prosper Women Entrepreneurs, and other local accelerators. She regularly represents start-ups, portfolio companies, and venture capital and private equity funds in connection with formation, private placements, commercial and operational matters, and exits.

Ms. Love works regularly with non-profit clients, including schools, colleges, universities, charities, non-profits, and foundations on corporate structuring and governance, commercial and strategic contracts, compliance and regulatory matters, and transactions. She also leads teams of colleagues to address the other legal and tax issues that these organizations face.

Ms. Love’s broad-based transactional practice includes mergers and acquisitions, joint ventures, strategic alliances, commercial agreements, and private placement finance. She frequently counsels businesses regarding employment, consulting, licensing, and confidentiality and non-compete agreements. Many of her clients are women-owned or minority-owned businesses, and her work includes counseling them on WBE/MBE certification matters. Ms. Love’s depth and breadth of experience enable her to provide practical, efficient advice to help companies in all stages of the corporate lifecycle achieve their business goals.

Beyond her legal practice, Ms. Love is a leader in the St. Louis community and is an active board member of organizations including Barnes-Jewish Hospital, The Muny, and Pedal the Cause. In addition, she proudly serves as a co-founder and Chair of the Board of Hawthorn Leadership School for Girls, a college prep, STEM-focused charter school for underserved students.

Prior to joining the firm, she served as law clerk to the Hon. Jean C. Hamilton, U.S. District Court, Eastern District of Missouri.

  • Represented Regus Group, world’s largest provider of flexible workspaces, on the acquisition of more than 100 business centers over the last decade.
  • Represented numerous non-profits on corporate governance and other matters, including Parents as Teachers National Center, Big Brothers Big Sisters of Eastern Missouri, Prosper Women Entrepreneurs, Great Circle, The Muny, and The Magic House.
  • Represented Hawthorn Leadership School for Girls in all legal aspects of its opening and operations, including: preparing its organizational documents and 501(c)(3) application, negotiating an affiliation agreement with the Young Women’s Leadership Network (a network of similar schools based in NYC), executing a sponsorship agreement with Washington University, working on the real estate acquisition and financing, and obtaining state tax credits.
  • Represented dozens of early-stage companies receiving angel and venture capital investments via equity convertible debt and SAFEs.
  • Represented Herndon Aerospace & Defense, LLC, supply chain management and consumables hardware distributor, in sale to KLX Inc., world’s leading aerospace fasteners and consumables distributor and service provider, for approximately $210 million.
  • Represented the owners of ANZ Communications, LLC, wholesale long distance, data, and carrier solutions provider, in its sale to Onvoy, communications company offering voice, messaging and mobility solutions, for an undisclosed amount.
  • Represented Nidec Motor Corporation, motors and controls business subsidiary of Japan-based Nidec Corporation, in acquisition of U.S.-based KB Electronics, Inc., AC/DC motor controls manufacturer, for an undisclosed amount.
  • Represented Herndon Products, Inc., aerospace and defense products supplier, in acquisition of MS Inserts & Fasteners, international hardware and thread repair kit distributor to the aerospace, defense, automotive and industrial markets, for an undisclosed amount.
  • Represented Family Farms, LLC, Illinois-based agribusiness management company, in acquisition of AgriSolutions Inc., financial consulting and business services provider to North American farms and ranches, for an undisclosed amount. 
  • Represented Novus International, Inc., a global leader in animal health and nutrition, in the sale of its Viridus Animal Health subsidiary (poultry vaccine manufacturer) to Bulgaria-based Huvepharma, Inc. (global pharmaceutical company) for an undisclosed amount.
