Biography

William Cole focuses his practice in the areas of corporate finance and securities, corporate governance, mergers and acquisitions and private business. He has represented a variety of companies in matters such as initial start-up, venture capital, mergers and acquisitions, initial public offerings, public and private sales of debt and equity securities, tender offers, review and preparation of periodic reports and proxy materials for filing with the SEC, general commercial transactions, lending arrangements and corporate governance matters.

He concentrates on corporate finance, representing issuers and underwriters in public and private offerings and in SEC filings. Such transactions have included initial start-up and funding, venture capital, preferred stock and various debt instruments, PIPEs, IPOs, secondary offerings, universal shelf registration statements, “at-the-market” continuous equity offerings and stock and debt takedowns.   He regularly advises clients on public disclosure and corporate governance, including recent SEC rulemaking and trends in executive compensation.

He has experience with companies in a number of industries, including retail, manufacturing, community banking, real estate, healthcare and biotechnology.
