BCLP advises Ventiga Capital Partners, J. Leon and management shareholders on the sale of Thesis Holdings Limited

International law firm BCLP advised Ventiga Capital, J. Leon and management shareholders on the the £97 million sale of Thesis Holdings Limited (Tutman) s to Pollen Street Capital. 

Tutman is a growing fund services platform, which provides fund administration, corporate service, and transfer agency services to institutional investors, wealth managers and family offices. 

BCLP advised J. Leon on the management buy-out of Tutman in 2017. Since then, BCLP have continued to act for Tutman, including in respect of the bolt-on acquisitions of ConBrio Fund Partners in 2023 and the fund solutions business of the Evelyn Partners group in 2025. 

In parallel, BCLP have been advising the Tutman shareholder group on the sale of the wider Tutman business, with a share purchase agreement signed with Pollen Street in January 2026. Completion of the transaction required approval from the UK Financial Conduct Authority, which was received in April, and the parties have since then been working towards completion, which occurred on 29 May 2026.
