Biography

David is a trial attorney who represents businesses and individuals in complex real estate disputes, M&A litigation, and distressed asset transactions. He focuses on high stakes matters involving foreclosure proceedings, property disputes, post-closing M&A disputes, and breach of fiduciary duty claims.

In real estate litigation, David represents lenders, investors, and property owners in distressed asset situations, loan workouts, foreclosure actions, and commercial real estate disputes. He handles matters involving underperforming properties, failed transactions, and complex ownership structures. David also provides strategic counsel on real estate transaction documentation, drafting and negotiating purchase agreements, loan documents, and workout arrangements to minimize dispute risks.

David’s M&A dispute practice encompasses post-closing disputes, purchase price adjustments, representation and warranty claims, and fiduciary duty litigation arising from mergers and acquisitions. Drawing on his transactional experience, he advises clients on M&A contract drafting, including purchase agreements, disclosure schedules, and indemnification provisions designed to allocate risk effectively. David has successfully resolved numerous matters through trial and dispositive motions and achieved favorable settlements in both domestic and international disputes.

David brings additional depth to his practice through his experience with complex commercial disputes involving franchise law, securities fraud, RICO violations, unfair competition claims, and government investigations.
