Acting for a wide range of clients including UK and international banks and financial institutions, listed and investment grade borrowers on their financing arrangements, both borrowers and lenders on numerous multi-jurisdictional restructuring transactions, and lenders on a number of project and infrastructure related financings.
Examples of work include Metric Capital Partners’ €35m investment (debt and equity) in the Dutch based TVHG Budget Hotels Group (and subsequent exit), Aitch Care Homes’ £35m acquisition financing and Barclays and RBS’ £100m financing of Restore plc’s acquisition of the Wincanton plc records management division.
Major deals include advising on the £300m HSBC facility supporting the £1.2bn reverse takeover of British Car Auctions, Marken’s €400m syndicated facility following a major restructuring and Playtech plc’s debut £200m syndicated facility from Barclays and RBS.
Insurance - Advised Investec plc on the £11m acquisition financing in connection with the purchase by Clegg Gifford of the broking business of Tradex.
Leisure and Gaming - Advised on Playtech’s £200m acquisition facilities provided by RBS and Barclays and £40m working capital line.
Housebuilding - Acted on Galliard Developments Limited’s £65m mezzanine facility to a JV of Cain Hoy and Galliard Homes.
Financial Services/ Funders - Advised Deutsche Bank AG, London Branch on their US$340m margin loan facilities.
Retail - Advised on the BCA Marketplace plc deal, a £300m acquisition facilities from HSBC in connection with the £1.2bn acquisition of the British Car Auctions Group.
Hotels - Acted on Barclays amendment and restatement of £40m term and revolving facilities for the Northumberland House Hotel. Advised on Metric Capital Partners £12m investment by way of debt and equity in Dutch based TVHGBudget Hotels Group – in addition to a £12m facility to UC Group.
