A few weeks ago, Delaware took a big step in adjusting its Corporate Law to provide greater certainty, and flexibility, around related party transactions.  It will be interesting to see if this stems the tide of corporate exits from Delaware.

Delaware is the legal home to some 2 million corporations, about 60% of those in the Fortune 500. The corporate laws on the state’s books govern the rules by which the nation's largest corporations govern themselves.
