BCLP Advises AMR in Complex Transaction Involving Food Stores and Shopping Malls
Feb 04, 2021A BCLP team in Paris advised AMR (a company comprising Mercialys, OPCIMMO, Rivoli Avenir Patrimoine and Edissimmo) on the acquisition from Mercialys of the Monoprix de Chaville, Marcq-en-Barœul and Puteaux as well as the Géant Casino in Besançon and Gassin. Simultaneously, BCLP advised on the sale to Mercialys of the Montauban and Valence shopping centers. Edissimmo, Génépierre and Rivoli Avenir Patrimoine also sold the Dijon Chenôve shopping mall to Mercialys.
The total value of this complex transaction comprising an acquisition, an exchange and a disposal amounts to more than €250 million. AMR is managed by Amundi Immobilier.
As part of the financing of these transactions, a non-proportional capital increase of AMR was carried out, leading to Edissimmo’s entry into the capital and resulting in a dilution of Mercialys’ stake from 39.9 percent to 25 percent.
The BCLP team was composed of Partners Christine Daric and Pierre Popesco, Counsel Chloé Strasser, and Associates Neda Tassoubi, Johanna Ros and Martin Delcamp, alongside the notary firm Oudot & Associés.
Mercialys was advised by the notary firm LBMB and the law firm Fairway.
