BCLP advises Carrefour on completion of the sale of its Romanian business to Paval Holding
Jul 08, 2026BCLP acted as lead international counsel to Carrefour on the sale of its Romanian operations to Paval Holding, with an enterprise value of €823 million. The transaction formed a key part of the strategic portfolio review launched by Carrefour in early 2025.
Carrefour Romania operates a significant retail network of 478 stores across the country, including 55 hypermarkets, 191 supermarkets, 202 convenience stores and 30 discount stores. Paval Holding is the investment vehicle of the Paval family – owners of Dedeman, Romania’s leading home improvement retailer and one of the country’s most prominent entrepreneurial groups.
Completion of the deal strengthens BCLP’s longstanding global relationship with Carrefour. The firm continues to support the retailer on a broad range of international strategic initiatives, including its franchising strategy across multiple markets in Africa and the Middle East, and a substantial mandate in India.
BCLP’s multidisciplinary, cross-office team was led by Jinal Shah, UK Office Managing Partner, M&A & Corporate Finance, and Marie Johnson, Partner and Co-Head of Consumer & Retail Products. BCLP was supported by Nestor Nestor Diculescu Kingston Petersen, led by Partners Corina Dumitru and Lavinia Ioniță Rasmussen, who advised on all Romanian legal aspects of the transaction.
