International law firm BCLP has advised longstanding client HELLENiQ Energy on its acquisition of Elpedison BV from Edison. The deal marks the conclusion of a successful joint venture between HELLENiQ Energy and Edison.

Established in 2008, Elpedison BV was formed as a 50/50 joint venture between HELLENiQ Energy and Edison, operating two CGT power stations, and a significant electricity and gas trading business in Greece.

Following the parties’ decision to dissolve the joint venture in early 2024, BCLP advised HELLENiQ through a binding bidding process and played a key role in securing the acquisition of Edison’s 50% stake – resulting in full ownership of Elpedison BV.

The deal team was led by Adam Dann (partner, Environment, Energy and Infrastructure) and Helen Miller (associate director, Environment, Energy and Infrastructure), who was ably assisted by associate, Hansy Shore and trainees Chloe Allen and Hannah Fraser (Environment, Energy and Infrastructure), and received wider assistance from partner Ben Blacklock and senior associate Georgia Henderson-Cleland (both Business and Commercial Disputes).
