BCLP leads strategic sale for aerospace client R&S Machining to Threadlock Precision
Apr 07, 2026International law firm BCLP has advised St. Louis-based R&S Machining LLC in its sale to Threadlock Precision (a D.E. Shaw company).
The transaction required careful coordination of government filings and compliance steps, as R&S Machining supplies government agencies and prime contractors within the aerospace and defense industries. The work forms part of BCLP’s growing Aerospace & Defense Practice, supporting clients on complex, high-value projects.
R&S will now be able to continue its growth trajectory under this new ownership, with its principals rolling over a portion of their equity and staying on with the buyer.
Founded in 1992 after spinning out of Boeing, R&S Machining has spent more than three decades supplying complex, high-precision components to the aerospace and defense industries. Threadlock’s deal announcement emphasized R&S Machining’s broad set of capabilities – from large format gantry machining to Swiss turning, tight tolerance milling, and specialized assembly and fabrication work. R&S is recognized as a trusted supplier able to deliver intricate, technically demanding parts for critical programs.
Threadlock Precision is a US-based precision manufacturing network focused on building a nationwide platform of specialist manufacturers serving aerospace, defense and industrial customers. The acquisition of R&S Machining is Threadlock’s third addition as it continues expanding its capabilities and geographic reach.
BCLP’s deal team was led by Bob Newmark and Associates Leslie DeGonia and Tori Andrew in Corporate Transactions. Critical assistance came from Jessica Edwards for Tax; Daniel Doron and Reiley Pankratz for Employment & Labor; Meredith Silliman and Steve Evans for Employee Benefits & Executive Compensation; Vyas Suresh and Marc Cox for Real Estate; Lucinda Althauser for Intellectual Property; Goli Mahdavi for Data Privacy; Erin Brooks and Ashlynn Timmerman for Environmental; Justin Benson and Jennifer Kies Mammen for Government Contracts; Alexis Early and Adam Harper for Government Regulations & Compliance; Ken Achenbach and Aaron Lapniewski for Insurance; and Demetra Nicozisin for Corporate Transactions.
