International law firm BCLP is advising client Wireless Telecom Group, Inc. (WTT) in connection with its take-private transaction via merger with a subsidiary of Maury Microwave, Inc. (Maury). Maury will acquire all of WTT’s outstanding shares as part of the all-cash transaction, which was unanimously approved by the board of directors of each company. Closing is expected in the third quarter of 2023.

WTT is a leading manufacturer of advanced RF and microwave components, modules, systems and instruments. The company provides mission-critical solutions to the wireless, telecommunication, satellite, military, aerospace, semiconductor and quantum computing industries. Maury designs and manufactures state-of-the-art RF measurement and interconnect solutions that enable the world’s best wireless communication technologies and networks to get better, faster and stronger.

Maury’s offer price of $2.13 per share represents a premium of approximately 34% to WTT’s closing share price on May 24, and a premium of 50% since the date of the announcement of the strategic alternatives process in July 2022.
