James English Co-Chairs Development of Globally Adopted LNG Model Contract
Oct 02, 2025BCLP partner James English has been recognized for his pivotal role in shaping the future of global LNG transactions. James served as the lead co-chair of the drafting committee for the 2025 Model LNG Sale and Purchase Agreement (SPA) (FOB), published by the Association of International Energy Negotiators (AIEN).
The AIEN is known for producing model contracts that the industry adopts and utilizes to provide a fair and balanced negotiating approach. The SPA is intended to be used by upstream gas companies, traders, terminal owners, portfolio gas selling companies, investors interested in transacting in the gas sectors and gas buyers for long-term LNG deals of this type. It allows a flexible framework for the sale and purchase of LNG on a Free on Board (FOB) basis. The model agreement streamlines negotiations, promotes consistency, and reduces transaction costs—making it a cornerstone of LNG contracting worldwide.
In addition to co-chairing the LNG SPA drafting effort, James has also led AIEN’s broader initiatives to publish, advance, and update model contracts across the oil and gas and energy transition sectors. His leadership has helped ensure that these foundational documents reflect evolving market practices and support the industry's shift toward more sustainable energy solutions. The publication of the 2025 LNG SPA marks the culmination of a six-year, industry-wide effort involving over 400 professionals from 69 countries. Under James’s leadership—alongside co-chair Patricia Tiller of Bracewell—the committee delivered a comprehensive agreement accompanied by detailed Guidance Notes to support its practical use.
James’s contribution reflects not only his deep knowledge and experience in energy law but also his commitment to advancing industry collaboration and legal innovation.
