In this article, we consider some of the trends at 2022 AGMs and look at key considerations for companies for the 2023 AGM and associated corporate reporting.  When preparing for this year’s AGM companies will need to consider, amongst other things:

  1. the format of the AGM (last year saw an increase in the return to physical meetings);
  2. whether to increase the threshold for the disapplication of pre-emption rights, as set out in the revised Statement of Principles; and
  3. the recommendations from proxies agencies which continue to impact voting outturns.
