Biography
Gino Serra is a Corporate Attorney who focuses on nonprofit and tax-exempt organizations across a broad spectrum of industry sectors. His clients include life sciences, research and health care organizations, higher education institutions, trade associations, public-private partnerships, governmental and quasi-governmental agencies, and national and international grant-making foundations.
Gino advises nonprofit and tax-exempt organizations in a diverse range of transactions and other projects, including corporate formation and structuring, commercial contracting, mergers and acquisitions, restructurings, joint ventures and other strategic partnering, and technology commercialization. He guides organizations through the complex rules that affect those transactions and other projects.
Through Gino’s 27-year representation of one of the largest nonprofit medical research enterprises in the world, from 1998 to present, he has developed unique and significant experience in structuring multi-entity groups. In particular, he is adept at translating the philanthropic and operational vision into a flexible structure, utilizing both for-profit and a variety of types of tax-exempt entities, to efficiently and effectively achieve the group’s mission.
Gino also regularly advises for-profit companies, from start-ups to mature businesses, on mergers and acquisitions, restructurings, debt and equity financings, joint ventures and other strategic partnering, and technology commercialization. Gino previously practiced in Europe with an international law firm and continues to assist non-U.S. entities, in particular Italian companies, with foreign direct investment in the U.S. He helps companies navigate complex legal issues and provides guidance on affiliate structuring and key commercial agreements, such as manufacturing, supply, distributorship and agency agreements.
Gino often serves as outside general counsel for both for-profit companies and nonprofit and tax-exempt organizations, which has provided him with practical, hands-on experience and knowledge in a variety of other practice areas. These include tax, employment and immigration law, employee benefits and executive compensation, research integrity, safety and compliance, grant funding, intellectual property, procurement, data privacy, special investigations, litigation and dispute resolution, investment and finance, and real estate.
