Biography
Jon is a trusted UK tax lawyer with nearly a decade of experience across the full spectrum of UK taxes, including direct tax, VAT, stamp taxes, capital allowances, the construction industry scheme, employment-related securities, the non-resident landlords scheme, and the annual tax on enveloped dwellings.
He provides practical, clear advice tailored to complex transactions, combining deep technical expertise with a pragmatic, solutions-focused approach. He works closely with clients to anticipate challenges and manage risk throughout both the structuring and execution phases of transactions.
Jon has deep expertise in the built environment sector and has particular experience leading tax input on corporatised real estate transactions (including warranty and indemnity insurance-backed transactions), strategic tax structuring, real estate finance (for both lenders and borrowers), direct acquisitions and disposals, development matters, and lettings and pre-lets.
He also advises on transactional tax matters arising in corporate M&A transactions and reorganisations, including incentive arrangements and complex employment-related securities issues.
Jon’s regular clients include REITs, sovereign entities, private equity houses, and fund vehicles. He acts on both domestic and cross-border transactions, including significant inbound investment into the UK.

Experience
Direct real estate:
- Acting over a 9+ year period for a sovereign wealth fund in respect of a premium central London residential estate with a GDV of over £4bn, including on restructuring its holding into a sovereign immune structure, over £1bn of financing in numerous tranches, development matters, VAT structuring in respect of ongoing operations, and the eventual letting and sale of completed units.
- Advising Land Securities on its development, pre-let, and c.£800m forward sale of 21 Moorfields - Deutsche Bank’s UK headquarters and the 2025 City of London Building of the Year.
Corporate M&A:
- Acting for McWin-backed L’Osteria on its acquisition of the Pizza Pilgrims restaurant chain from its founders.
- Acting for a US private equity house on its acquisition of a 49% stake in a UK software developer specialising in bookings software for the leisure sector.
Corporatised real estate/finance:
- Acting for: (1) a UK developer on the sale to a consortium of international investors of a 25% stake in a joint venture holding a central London property; and (2) the joint venture structure as borrower on an associated £360m financing in order to facilitate future development of the underlying property.
- Acting for a global investment firm on its concurrent acquisitions from three separate sellers of three separate structures holding logistics properties valued at between £45m-£85m, alongside the c.£115m refinancing of those structures.
Finance (borrower)/direct real estate:
- Leading BCLP tax input into a private equity fund’s c.£500m acquisition and £345m financing of a portfolio of 15+ UK properties, including industrial, retail, office and residential use, plus the corporate acquisition of associated entities.
Finance (lender):
- Acting for a lending bank on the £305m mixed investment and development financing of three central London properties, to facilitate the development of a new “sky lounge”.
