Biography
Ofir Klein’s practice focuses on securities law, corporate governance and general corporate matters, with an emphasis on capital raising and securities regulation. He serves as a trusted advisor to investors, management teams, and boards of directors, providing pragmatic, solutions‑driven counsel on complex legal issues and guiding them through strategic transactions and critical decisions.
Ofir has extensive experience representing both underwriters and issuers in a broad range of capital markets transactions, including initial public offerings, SPAC business combinations, follow-on equity offerings, ATM programs, 144A/Reg S offerings, private placements, and other securities offerings. He also provides thoughtful counsel and business-minded solutions to clients regarding US Securities and Exchange Commission (SEC) and stock exchange reporting and disclosure requirements, proxy statements and shareholder meetings, investor communications, and board and shareholder governance matters.
Alongside his extensive US practice, Ofir brings significant experience advising foreign private issuers (FPIs), seeking listings on US securities exchanges or access to U.S. capital markets, and offers strategic guidance on transaction readiness, market positioning, investor engagement, and the long‑term compliance considerations associated with becoming a US‑listed company.
In addition, Ofir regularly advises emerging growth companies and venture capital funds on a comprehensive range of corporate and financing matters. He brings a practical, hands-on approach to guiding entrepreneurs as they form businesses, and serves as a trusted advisor throughout the lifecycle of their companies as they navigate the legal and business issues that arise as they innovate, scale operations, and raise capital. In parallel with his company‑side work, Ofir also serves as investors’ counsel and advises venture capital funds on their investments and ongoing portfolio matters.
Ofir works extensively with innovators and leaders of both public and private companies across a variety of industries, including technology, life sciences, aerospace and defense, financial services, and energy. Whether helping them raise capital, accelerate product development, or pursue strategic opportunities, Ofir combines legal expertise with practical, closely engaged guidance to ensure rigorous execution.
Ofir’s prior firm experience includes practicing in the capital markets group at a leading international law firm in New York, as well as practicing as both an attorney and CPA in Israel. Ofir continues to routinely advise non-Israeli clients evaluating business relationships and strategic partnership within Israel, as well as Israeli-based companies entering U.S. markets.
