Charles Weiss, a Fellow in the American College of Trial Lawyers and the International Academy of Trial Lawyers, has more than 40 years experience in business and complex litigation, representing numerous Fortune 500 companies and other clients in significant litigation matters involving class action, intellectual property, federal and state securities law, antitrust and unfair competition, product liability, fraud, False Claims Act, employment discrimination, trade secrets and non-compete agreements, insurance coverage, state and federal constitutional law, Lanham Act and false and misleading advertising, software development, legal and accounting malpractice and breach of commercial and government contracts.

He has handled cases at both the trial and appellate levels, having appeared in more than 30 federal district courts around the country and in seven circuits of the Federal Courts of Appeals, the Federal Court of Claims and the United States Supreme Court. He has represented clients in matters where the amounts in issue have exceeded $1 billion.

He also has more than 35 years experience in government contract matters including preparation of proposals, negotiations of contracts, bid protests, government audits and investigations, defective cost claims, complex litigation and arbitrations, grand jury investigations and subpoenas, internal investigations, teaming agreements, licensing and rights in data agreements and disputes, qui tam suits, terminations for convenience and default and claims before Boards of Contract Appeals, Claims Court and state and federal courts.

In addition, he has counseled clients in connection with negotiating and drafting construction contracts, bidding on and proposing contracts, preparing and defending claims, mechanic’s liens and construction bonds and title insurance. He has represented clients in resolving disputes on numerous construction projects, both domestic and foreign, including the world’s three tallest buildings, highway projects, energy generation plants, ethanol plants, major school district renovations, military base housing, hotels, hospitals, residential developments, mining facilities, manufacturing facilities, secondary wastewater treatment plants and parking garages. Mr. Weiss chaired the Annual St. Louis Conference on Construction Law for several years and has written and lectured frequently on topics related to construction and government contract law.

Mr. Weiss has been involved in some of the leading cases in government contract law, including:

  • Lead trial counsel in Al Khaldiya Electronics and Equipment Co. v. The Boeing Company et. al. (E.D. Mo. 2008). Suit by Al Khaldiya against our client Boeing for more than $100 million alleging entitlement to commissions and compensation relating to sale of Apache helicopters to Kuwait. Case involved, among other things, foreign military sales issues. After three years of litigation, obtained summary judgment in favor of Boeing. Judgment was affirmed on appeal to the Eighth Circuit.
  • Lead trial counsel for McDonnell Douglas Corporation in major claim against Navy for constructive changes on the T-45 Program resulting in $200 million-plus settlement for MDC; Appeal of McDonnell Douglas Corp., ASBCA No. 46582, 96-2 BCA & 28,377
  • Lead trial counsel for Litton Corporation in dispute with Lockheed Corporation involving directed and constructive changes to an aircraft modification contract; obtained award in favor of Litton after a 55-day arbitration administered by AAA in Boston; In the Matter of Arbitration Between Lockheed Corporation and Litton Corporation, American Arbitration Association, Complex Case, AAA No. Y 199003494
  • Lead trial counsel for McDonnell Douglas Corporation in Boeing/McDonnell Douglas Corporation dispute with Teledyne Ryan involving alleged teaming agreement to build the fuselage for the Apache Helicopter; successfully obtained order from federal district court in San Diego staying Teledyne Ryan’s suit against Boeing/McDonnell Douglas Corporation and directing that dispute be arbitrated; obtained a decision in favor of Boeing/McDonnell Douglas Corporation from a panel of three arbitrators sitting in Washington, D.C. Teledyne Industries, Inc. v. The Boeing Company and McDonnell Douglas Corporation, No. 97CV2185H (LSP) (S.D. Cal.)
  • Lead trial counsel for McDonnell Douglas Corporation in leading case on the application of antitrust laws to aerospace teaming agreements involving rights to manufacture and sell the F-18 aircraft; Northrop Corporation v.   • Lead trial and appellate counsel for McDonnell Douglas Corporation in leading case that established the precedent holding that a government contractor or subcontractor who pledges to honor national security requirements may be deemed to have waived its rights to a jury trial in matters involving classified information; Loral v. McDonnell Douglas Corp., 558 F.2d 1130 (2nd Cir.)
  • Lead counsel for McDonnell Douglas Corporation in the disposition of all major subcontractor termination claims resulting from the cancellation of the A-12 Program; for a 3-year period, worked along side McDonnell Douglas business personnel in evaluating, negotiating and concluding the claims
  • Lead counsel for Emerson Electric Co. in connection with the spin-off of its defense contracting business to newly-formed company ESCO, including assisting Emerson in novating and assigning its government contracts to the new company
  • Lead trial counsel for McDonnell Douglas Corporation in suit against SCI Technologies, Inc. in federal district court in St. Louis for defaulting on a subcontract under the A-12 program; because the case involved classified information, on MDC’s motion, the court struck SCI jury demand and the case was tried to the court; after several weeks of trial, the matter was settled; McDonnell Douglas Corporation v. SCI Technology, Inc. (E.D. Mo.)
  • Lead trial counsel for McDonnell Douglas Corporation in a suit in which MDC obtained a preliminary injunction requiring Data Products, Inc. to specifically perform its subcontract to supply light dimmers for the C-17 cockpit; MDC obtained a preliminary injunction requiring specific performance; McDonnell Douglas Corporation v. Data Products, Inc., (C.D. Cal.)
  • Lead trial counsel for McDonnell Douglas Corporation in a suit against the Kingdom of Denmark for a declaratory judgment that MDC was not liable for damages sustained when a Harpoon missile went off course and struck several buildings along the Danish coast; the court entered a judgment declaring that MDC had no liability; McDonnell Douglas Corporation v. Kingdom of Denmark, Royal Danish Navy and Royal Danish Materials Command, 607 F. Supp. 1016 (E.D. Mo.)
  • Served as lead trial and appellate counsel for McDonnell Douglas Corporation in a suit against the Islamic Republic of Iran in which MDC obtained a declaratory judgment that MDC had no liability and obligations under a contract to supply spare parts for the F-4 aircraft to Iran, and a ruling from the trial court that a forum selection clause in the parties’ contract that all disputes must be tried in the Iranian tribunals was unenforceable; McDonnell Douglas Corporation v. Islamic Republic of Iran, the Ministry of Defense of the Islamic Republic of Iran, and the Islamic Republic of Iran Air Force, 785 F.2d 341 (8th Cir.)
  • Represented McDonnell Douglas Corporation in a leading case in which McDonnell Douglas Corporation obtained a mandatory injunction against Garrett Corporation which was developing and furnishing two major systems for the F-15 aircraft requiring Garrett to continue performance during the pendency of the dispute in which Garrett claimed impossibility and commercial impracticability; the preliminary injunction was upheld by the Ninth Circuit Court of Appeals.   • Lead trial counsel for Superior Engineering, Inc. in a bid protest and civil suit against the Navy to set aside a contract which was improperly awarded to a competitor; the case was tried to a federal district court in Norfolk, Virginia in a 7-day trial; case also involved a bid protest to the Small Business Administration which found that the awardee competitor was not a qualified small business; Superior Engineering Company v. U.S. of America, 1987 U.S. D. LEXIS 7940 (S.D. Va.)
  • Represented, counseled and assisted TRW in preparing its claim arising out of the Tracking and Relay Data Satellite program
  • Lead trial counsel for McDonnell Douglas Corporation in a suit against a supplier to recover damages resulting from fraudulent inspection of aircraft parts; supplier had been indicted by a grand jury and there was a danger that no assets would be available to satisfy any judgment MDC might obtain; MDC successfully applied for and obtained a prejudgment attachment of the suppliers’ assets; McDonnell Douglas Corporation v. St. Charles Metal Finishing Company, St. Charles County Circuit Court
  • Lead counsel for UniGroup, Inc. in False Claims Act claim by U.S. Government to recover alleged over-payments for various charges under transport contracts; case was mediated through JAMS and successfully resolved
  • Counseled clients regarding export controls under the Export Administration Regulations and International Traffic and Arms Regulations
  • Lead trial counsel for Oregon Freeze Dried Foods in claim by Oregon for title and possession of more than $2 million in special K-rations intended for use by the Army; the claim was opposed by American Pouch Foods, the prime contractor, and the United States Government; after a trial in Chicago Bankruptcy Court, the court found for Oregon and awarded it title and possession of the more than $2 million in stored goods; In Re American Pouch Food Company, Inc. Charles Weiss has more than 30 years experience in construction law and has represented developers, architects, engineers, general contractors and subcontractors. He has counseled clients in connection with negotiating and drafting contracts, bidding on and proposing contracts, preparing, prosecuting and defending claims, mechanic’s liens and construction bonds and title insurance. He has been involved in numerous and varied construction projects, both domestic and foreign, including the world’s three tallest buildings, energy generation plants, ethanol plants, major school district renovations, military base housing, highway projects, bridges, underground utilities, environmental clean-up projects such as the U.S. Army Rock Island Arsenal facility, hotels, hospitals, residential developments, manufacturing facilities, secondary wastewater treatment plants, parking garages, Edward D. Jones Dome (home of the St. Louis Rams) and St. Louis Union Station. Mr. Weiss chaired the Annual St. Louis Conference on Construction Law for several years and has written and lectured frequently on topics related to construction and government contract law. He also serves as an arbitrator for the American Arbitration Association.

Charles (Charlie) A. Weiss is an experienced trial lawyer with a national practice, having prosecuted and defended significant and complex cases in state and federal courts throughout the country.

He has appeared in more than thirty different federal district courts, eight federal courts of appeals and the U.S. Supreme Court.

Mr. Weiss is a Fellow in the American College of Trial Lawyers, the most distinguished and select group of trial lawyers in the U.S. and Canada. Select Representations

  • Lead trial lawyer defending pharmaceutical company in suit in federal court for the Southern District of New York in which competing companies claimed patent infringement and Lanham Act (false advertising) violations. Case involved expeditious discovery, a three-day evidentiary hearing, and extensive briefing on complaining parties' request for preliminary injunction. Court in a written opinion denied the injunction. (2010) Case settled after decision denying injunction.

  • Lead counsel in Joshua Kezer v. David Dormore, Superintendent, Jefferson City Correctional Center (Cole County, Mo Circuit Court, 2009). In this pro bono undertaking, obtained judgment exonerating our client who had been convicted of murder and who had been imprisoned since 1993. Court vacated his conviction, finding client met the actual innocence test. Subsequently, represented Joshua Kezer in civil suit against sheriff and county, which was settled in favor of Kezer.

  • Lead trial lawyer defending manufacturer of pharmaceutical chemicals and products in suit claiming patent infringement in federal court for the Southern District of New York. Case involved multiple defendants, extensive discovery and a six-day Markman hearing. Client reached favorable settlement agreement after Markman hearing. (2008)

  • Lead trial counsel in Al Khaldiya Electronics and Equipment Co. v. The Boeing Company et. al. (E.D. Mo. 2008). Suit by Al Khaldiya against our client Boeing for more than $100 million alleging entitlement to commissions and compensation relating to sale of Apache helicopters to Kuwait. Case involved, among other things, foreign military sales issues. After three years of litigation obtained summary judgment in favor of Boeing. Judgment was affirmed on appeal to the Eighth Circuit.

  • Lead trial counsel in KV Pharmaceuticals Company v. National Union Insurance Co., (E.D Mo. 2006). Obtained $5 million jury verdict in favor of client against insurance company in a case involving a coverage dispute.

  • Served as lead trial counsel representing The Missouri Interest on Lawyers Trust Account Foundation in suit filed by a practicing attorney who contended that the Missouri Supreme Court Rule establishing the IOLTA Program in Missouri was invalid in that it authorized and implemented an unconstitutional taking without compensation. Successfully obtained an order dismissing the case, affirmed by the Missouri Court of Appeals of the Western District; Mottl v. Missouri Interest on Lawyers Trust Account Foundation, et al., No. WD63130 (Mo. App. W.D. 2004).

  • Lead trial counsel for Consolidation Coal Company in multi-million dollar suit filed by Central Illinois Light Company for alleged breach of long-term coal supply contract. Obtained summary judgment for Consolidation Coal, affirmed by the Seventh Circuit; Central Illinois Light Company v. Consolidation Coal Company, No. 01-CV-1477 (2003), 349 F.3d 488 (7th Cir. 2003).

  • Lead trial counsel for Ethex Corporation and Ther-RX Corporation in suit against First Horizon Pharmaceutical Corporation involving false and misleading advertising and source confusion claims under the Lanham Act concerning the marketing and sale of prescription drugs. Court granted ETHEX’s motion to dismiss First Horizon’s counterclaim that ETHEX’s marketing of its drug as a generic to First Horizon’s drug was misleading, holding that such claims were within the primary jurisdiction of the FDA; Ethex Corporation and Ther-RX v. First Horizon Pharmaceutical Corporation, 228 F. Supp.2d 1048 (E.D. Mo. 2002).

  • Lead counsel for City of O’Fallon, Missouri, in first case ever brought against City challenging O’Fallon’s zoning practices in conditionally approving a development site plan as constituting an unconstitutional taking without compensation. Trial resulted in judgment for O’Fallon, affirmed by Missouri Court of Appeals; Walmar Investment Co. v. City of O’Fallon Planning and Zoning Commission (St. Charles County Circuit Court, 2002).

  • Lead counsel for Solvay Paper Company in $100 million-plus suit by General Data Corporation claiming copyright infringement relating to software used in operating Solvay’s paper plant. After discovery, case settled favorably to Solvay. General Data Corporation v. Solvay Paper Company (U.S. Dist. Ct. S.D. Ohio 2002).
  • Served as lead counsel for Express Scripts in a patent infringement case brought by an owner of a business process patent against the major pharmaceutical benefit management firms in the U.S. Allcare Health Management System, Inc. v. Cerner Corp., et al., Civ. Action No. 4:99-CV-464-Y (U.S. Dist. Ct. N.D. Tex. 2000).
  • Lead trial counsel for Ethex Corporation and KV Pharmaceutical Company in suit brought by Healthpoint, Ltd. and DPT Laboratories, Inc. involving issues of false and misleading advertising, unfair competition, trademark infringement and dilution, misappropriation and unfair competition concerning a prescription wound-care product; Healthpoint, Ltd., et al. v. Ethex Corporation, et al., No. SA-00-CA-0757-OG, (U.S. Dist. Ct. W.D. Tex. 2001).
  • Lead trial counsel for Ethex Corporation in suit against Warner Chilcott, Inc. involving false advertising and unfair competition issues concerning the sale and marketing of prescription prenatal vitamins; Ethics Corporation v. Warner Chilcott, Inc., No. 4:99CV01358 (CAS), (U.S. Dist. Ct. E.D. Mo. 2000).
  • Lead trial counsel for Consolidation Coal Company in suit by Union Electric Company for claim exceeding $100 million brought under gross inequity provision of long-term coal contract. After substantial discovery, court granted summary judgment in favor of Consolidation Coal, affirmed by the Eighth Circuit; Union Electric Company v. Consolidation Coal Company, 188 F.3d 998 (8th Cir. 1999).
  • Lead trial counsel for McDonnell Douglas Corporation in claim against the Navy for equitable adjustment for constructive changes on the T-45 aircraft program resulting in $200 million-plus settlement for MDC. Appeal of McDonnell Douglas Corporation, ASBCA No. 46582, 96-2 BCA 28,377 (1996).

Dicarlo Construction Company, 950 F.2d 572 (8th Cir. 1991) resulting in jury verdict of over $600,000 in favor of Cupples Products Division in suit to recover money owed under subcontract for the design, manufacture and erection of a curtain wall on an office building.
  • Lead trial counsel for Community Facilities Corporation and FMG, Inc. in an antitrust suit filed by St. Louis Ticketmaster alleging that St. Louis City and other affiliated defendants had monopolized the sale of tickets in the St. Louis Metropolitan area by tying the use of the St. Louis Arena, Kiel Auditorium and other city owned facilities to the use of a city-affiliated ticket company. Obtained summary judgment for defendant; St. Louis Ticketmaster, Inc. v. City of St. Louis, Community Facilities Corporation, FMG, Inc., FMG of St. Louis, (U.S. Dist. Ct. E.D. Mo.).
  • Lead trial counsel for Plough, Inc. in suit by S. D. Collectibles alleging that Plough (Coppertone) monopolized or was attempting to monopolize the sun screen market. Obtained summary judgment for Plough; S.D. Collectibles v. Plough, Inc., 952 F.2d 211 (8th Cir.).
  • Lead trial counsel for McDonnell Douglas Corporation in 38 wrongful death and personal injury cases filed in St. Louis County and St. Louis City Circuit Courts arising out of the crash of the United Airlines DC-10 in Sioux City, Iowa.
  • Lead trial counsel for Tarkett, Inc. in suit by Westport Flooring Distribution, Inc. alleging breaches of contract, breaches of Missouri franchise statute and equitable recoupment; after discovery and completion of pre-trial filings, court granted summary judgment in Tarkett’s favor; Westport Flooring Distribution, Inc. v. Tarkett, Inc., 855 F.2d 857.
  • Lead trial counsel in Brock v. City of St. Louis and St. Louis Regional Hospital, 724 S.W.2d 721 (Mo. App.), in which plaintiffs challenged the legality of the underlying transaction closing St. Louis City Hospital and establishing St. Louis Regional Hospital; court upheld the validity of the transactions.
  • Served as lead counsel for plaintiffs in a wrongful death suit to recover damages against the United States Government under the Federal Tort Claims Act arising out of a mid-air airplane collision. Achieved multi-million dollar settlement for plaintiffs. Squires v. United States; Spencer v. United States, (U.S. Dist. Ct. E.D. Mo.).
  • Lead trial counsel for McDonnell Douglas Corporation and McDonnell Coal Liquid, Ltd. in class action suit against MDC and Coal Liquid alleging various securities laws violations, unlawful conversion of corporate opportunity, common law fraud, common law conspiracy and breach of fiduciary duties; Barlow v. McDonnell Douglas Corporation, et al., (U.S. Dist. Ct. N.D. Ky.).
  • Lead trial counsel for McDonnell Douglas in Northrop Corporation vs. McDonnell Douglas Corporation, 498 F. Supp. 112 (C.D. Cal.); 705 F.2d 1030 (9th Cir. 1983), involving rights under a teaming agreement to build the F-18 aircraft and the application of antitrust principles to teaming agreements. Northrop alleged that MDC had monopolized or attempted to monopolize the world fighter aircraft market and claimed hundreds of millions of dollars in damages. Case was settled favorably to MDC after two summary judgments in MDC’s favor and after two appeals to the Ninth Circuit.
  • Lead trial counsel for Prentice-Hall, Inc. in $25 million suit by Professor McMahon alleging copyright infringement of McMahon’s leading sociology text book used in colleges; after completion of discovery and the filing of pre-trial documents, court granted summary judgment in favor of Prentice-Hall, Inc. McMahon v. Prentice-Hall, Inc., (U.S. Dist. Ct. E.D. Mo.).
  • Trial counsel for McDonnell Douglas Corporation in Garrett v. McDonnell Douglas Corporation, 540 F.2d 427 (9th Cir.), in which MDC obtained a mandatory injunction requiring a major subcontractor on the F-15 aircraft program to continue performance of a design and development contract during the pendency of a dispute in which subcontractor claimed impossibility and commercial impracticability.
