Biography

Michael Humphrey is an experienced attorney with over 25 years of experience, providing counsel and advice for a broad range of legal and business issues for clients in many industries, including healthcare, real estate, lending, and telecommunications. In addition to his tenure at the firm, Mr. Humphrey has served corporations as in-house counsel in the title insurance industry and the health care industry. Mr. Humphrey’s real estate practice includes structuring, managing, and closing varied and complex real estate transactions, leasing, and development projects. Additionally, Mr. Humphrey’s outside general counsel practice and experience provides timely, practical, value-added counsel to clients for day-to-day business needs, operations, and crisis management, including the preparation and negotiation of commercial and operational agreements and review of risk-management and insurance agreements, lending, employment, and general business transactions.

Experience

  • General Counsel Matters - Advising, counseling, and assisting company owners and officers with respect to transition to third party management model and also updating corporate operations standards. Advising, leading, directing and working closely with company managers, owners, officers, and outside counsel with respect to a broad range of legal issues across many substantive areas, including: real estate, commercial, contracts, litigation, commercial loans, compliance, employment and corporate governance. Counseling, coaching, and training companies and their staff members concerning legal issues. Interviewing and engaging professional service providers to assist operations and strategic planning of corporations. Advising clients on matters related to corporate law, lending law, real estate law, regulatory compliance, and litigation.
  • Corporate Governance Matters - Preparing organization documents for business formation and governance of corporations, limited liability companies, partnerships, churches, non-profit corporations, and subdivision associations.
  • Real Estate Matters - Managing construction contract negotiations and overseeing real estate development projects. Negotiating, documenting, and closing commercial, healthcare, and industrial real estate transactions and leases. Examination and review of due diligence documentation including surveys, insurance and title insurance/title work and closing of real estate transactions involving office, healthcare, retail, industrial, church and municipal properties. Supervising development of litigation strategies related to complex real property disputes. Negotiating and drafting complex title insurance policy endorsements to manage risk for purchaser and lender clients in complex and simple real estate acquisitions and lending transactions.
  • Commercial Matters - Drafting, reviewing, and negotiating simple to complex legal documents, contracts, manuals, and correspondence. Leading large-scale review and due diligence projects related to corporate acquisitions, and other transactions.
