Biography

Todd Kaye is the Practice Group Leader for the Firm's Global Corporate Transactions Practice.

Mr. Kaye's practice focuses on mergers and acquisitions, securities law, corporate governance and general corporate matters. He has represented clients in connection with numerous acquisition, divestiture, strategic investment and joint venture transactions throughout North America, as well as in Europe, Asia and South America. He has also represented issuers and underwriters in a variety of debt and equity offerings, and has advised on a variety of private placement and other corporate finance transactions. Mr. Kaye also regularly counsels SEC-reporting companies with respect to securities law matters and related corporate governance issues, including the review and preparation of periodic reports and proxy materials. His clients have included public and privately-held companies in a broad range of industries with concentrations in healthcare, financial services, manufacturing, retail, e-commerce and technology.
