Biography

Zehra is an associate in the firm’s Corporate and Finance Transactions group. She advises lenders, borrowers and sponsors on a broad range of domestic and cross-border financing transactions, including leveraged finance, corporate lending and trade finance. Zehra has experience acting on complex multi-jurisdictional transactions across Europe, with particular experience in acquisition financings, refinancings and secured lending. Before joining the firm, she practised in the finance teams at leading international law firms in London and Tokyo, where she advised financial institutions, multinational corporates and development finance institutions on a wide variety of financing transactions across Europe and Asia, with a particular focus on energy and infrastructure projects whilst in Tokyo.

Experience

  • Working on numerous financings from term sheet stage to produce a senior facilities agreement and associated security documents.
  • Acting for the guarantor on a complex, multi-jurisdictional transaction to negotiate a deed of guarantee and indemnity as part of a wider credit support exercise in respect of a New York law governed senior secured credit facility.
  • Working on numerous amendment and restatement agreements in the context of refinancings and existing loan repayments.
  • Assisting in reviewing a master contract governing the provision of sub-contracts between customer and supplier of infrastructure data regarding public transportation services.
  • Working on a USD1.5 billion restructuring plan involving an injection of USD300 million of new money via a bespoke arrangement combining a borrowing base facility, a margin line facility to support commodity hedging and a trade instruments facility, all with a single master facility arrangement.*
  • Advising a Japanese company on its purchase of a 49% interest in a major UK energy company’s operational portfolio of a solar power farm with colocation development rights for a BESS project and an operational onshore wind farm in the UK.*
  • Advising a leading multilateral development bank headquartered in the Philippines on major projects, including on-lending to a Mongolian bank for the purposes of financing sub-loans to Mongolian MSMEs primarily in the rural farming and agriculture sectors.*
