Diana Rosia’s practice focuses on mergers, acquisitions, venture capital financing, corporate governance and periodic reporting under federal securities laws. As an associate within the firm’s M&A and Corporate Finance practice group, Diana has represented start-ups, middle-market privately held companies and publicly-traded companies in various transactions, including strategic investments, roll-up mergers, asset sales, stock purchase transactions, venture capital financings and private placements. Diana also counsels clients on corporate governance matters and compliance and reporting obligations under the Securities Act of 1934, including in connection with annual shareholder meetings and in the preparation of periodic reports.

  • $130 million acquisition of a private technology company by a publically traded financial services company.
  • $ 340 million acquisition (plus debt) of a private company by publically traded company.
  • Multi-state acquisition and roll-up transaction by a privately held company. 
  • $170 million acquisition of a privately-held company by a publically traded healthcare company.
  • $40 million asset purchase of a private ODM company in an all cash transaction by a large privately held company.
  • Multiple private equity investments, ranging between $3 million to $10 million, by strategic investors.  

Securities and Corporate Governance Representative Experience

  • Counsel various publically-traded companies in connection with annual shareholder meetings, periodic reporting and Director & Officer questionnaires.
  • Advise privately-held clients on corporate governance matters.
