Biography
Aly Winters is a member of the Tax Advice and Controversy Group. Ms. Winters' practice focuses on the federal income tax aspects of domestic and cross-border corporate transactions, including the representation of public and private companies in taxable and tax-free mergers, acquisitions, dispositions, spin-offs, and restructurings. She advises clients on the full range of tax issues associated with such transactions, including the structuring of deal consideration, tax due diligence, and the analysis of tax representations, warranties, and indemnities in transaction agreements.
Aly also counsels clients on domestic and international tax planning, including advising on the tax consequences of cross-border investments, joint ventures, and intragroup reorganizations. Her experience spans across a broad range of industries.
She began her legal career at a Big 4 accounting firm, where she provided guidance to multinational clients on the tax implications of cross-border acquisitions, dispositions, joint ventures, and spin-offs. This experience has given her a deep appreciation for the complexities of her clients' businesses and the importance of integrating sound tax strategy into their broader corporate objectives.
