Biography

Tori Andrew is an associate in the Firm's Corporate Transactions Practice, with a focus on mergers and acquisitions and public securities matters. She advises public and private companies, financial sponsors, and other stakeholders across a range of complex domestic and cross-border transactions.

Her experience includes supporting clients throughout the transaction lifecycle, including structuring, due diligence, drafting and negotiating transaction documents, and coordinating closings. Her experience spans both the buy and sell side of M&A transactions, as well as capital markets matters, including significant debt offerings. Her public company and securities practice includes advising on de-SPAC business combinations, take-private transactions, ongoing SEC reporting compliance for a range of publicly traded companies, including manufacturers and foreign private issuers, and cross-border regulatory obligations. She regularly collaborates with colleagues nationally across securities, tax, and regulatory disciplines. Tori is an active member of the Firm's Artificial Intelligence committee, helping to research, test, and develop best practices across the Corporate Transactions Practice to better serve the Firm's clients.

Tori received her J.D. from Washington University School of Law, where she worked with The Innocence Project and served as a paid assistant coach for the WashU Women's Basketball Team. Prior to law school, she earned a bachelor's degree in political science from Yale University, where she played varsity women's basketball and received the Yale Coaches' Female Athlete Leadership Award.
